The Investment Banking Process

For those who are unfamiliar with investment banking or are just starting out in the field, the process of completing each transaction is somewhat of a blur. The general role of an investment bank is to help companies raise capital through stocks and bonds and act as advisors for companies that want to improve their business and expand financially.

Before a company is actually able to increase its capital or trade on the stock market, a lot of work is done to reach any of these goals. An investment bank will start with an analysis of the company’s financial performance and other operations. The bank will identify ways to improve the company’s financial state should the reports fall on the negative side. The investment bank will also take into account external market conditions. If selling the company is an option, the bank will analyze potential buyers.

Regardless of the final decision, investment banks take many steps to test the purchasing conditions of the company including various interest levels. Once the investment bank and the company come to a conclusion, the next phase will involve contacting investors or buyers. At this point, a lot of information is exchanged between the various parties. Additionally, bids are written up and memorandums are drawn up. Investment banks provide guidance on handling incoming offers as well as completing them.

Once the company decides on an offer, the deal enters the closing stage. The closing of a deal is a complex step and is one of the most stressful phases of the investment banking process. This is due to a number of factors including the need for new information about the company, additional negotiations, and requests for changing prices despite what was originally agreed upon. At this point, it is important to close out all legal matters. As soon as everyone is in agreement and all financial details are acquired, interested parties can move on to the actual closing of the deal and this completes the investment banking process.
